Sensata Technologies, Inc. Senior Contracts Manager in Attleboro, Massachusetts
We are seeking a highly motivated, team oriented Contracts Manager to be responsible for the management of Sensata’s company-wide agreements and contracts. This position will be an integral part of our legal team and will provide legal and business expertise in the evaluation, development, and negotiation of various commercial contracts, ensuring compliance with current company policies and procedures. The Contracts Manager will work closely with sales, procurement, accounting and finance, operations, marketing, IT, HR, legal and other internal customers as well as external customers. This individual will serve as the key point of contact for the Company’s contracts and will oversee the Company’s contract system and support the transition to a true contract life-cycle management system.
Primary responsibilities include:
Lead and develop a team of contract specialists regionally, including creation of attorney elevation protocol; potential to lead global team
Manage the review, negotiation and execution process for a wide variety of global requirements, including, but not limited to: NDAs, master service agreements, subcontract agreements, consulting agreements, supply agreements, distributor agreements, IT agreements, property equipment agreements, joint development agreements, sales/purchasing agreements, outsourcing agreements, licensing agreements, etc.
Draft, review, revise, and negotiate agreements and contracts and manage document version control, redline process and execution
Ensure conformance of agreements and contracts with Company policies and procedures as well as compliance with all applicable federal, state and local laws and regulations
Ensure conformance of agreements and contracts with Company risk management policies
Ensure conformance of agreements and contracts with Company contract review policy
Provide advice to global internal stakeholders, IT and outside customer users on contractual rights, obligations, and interpretation of terms and conditions
Assist with contract disputes
Work with inside and outside legal counsel as needed
Recommend and implement policy and process improvements
Manage in-house contract life-cycle management system including contract records, workflows, renewals and terminations
Train global teams on the operation of Company’s contract management system and perform training on Company contract policies and procedures
Oversee the UCC filings process to protect Company interests in property located on supplier premises
Create and maintain templates for Company agreements and contracts
Ensure compliance with data privacy concerns and export screening requirements
Oversee company’s “Create Your Own NDA” process
Participate or lead planned request for proposal process to implement an improved contract life-cycle management system
Experience / Qualifications
Bachelor’s degree. Paralegal, CCM or other Contract Management certification, or J.D. desired
Minimum of 10 years’ experience drafting, reviewing, negotiating and advising on commercial agreements and contracts preferred
In-depth knowledge of basic contracting functions and legal requirements
Effective communicator and relationship builder with a demonstrated ability to persuade and influence others through collaboration across a global, matrix organization
Sound judgment; ability to make clear and succinct reasoned recommendations; ability to work in a matrix environment and determine who should be kept informed
Strong project management, analytical and negotiation skills
Ability to drive improved efficiency
Ability to anticipate and communicate issues, recommend corrective actions, and take independent remedial actions
Risk assessment skills and pragmatic business acumen, with the ability to further develop these attributes over time
Must be highly organized and comfortable working in a fast-paced, high-energy environment that is deadline driven, be detail oriented, and have the ability to juggle day-to-day projects, set priorities, and ensure timely completion of tasks
Experience with SharePoint or other Contract Life-cycle Management systems desired
Experience rolling out a new CLM desired
