The Associate General Counsel, Transactions, exemplifies outstanding leadership ability and acts as a trusted legal advisor to the company’s businesses on complex technology transactional matters. Leads projects and cross-functional teams, with projects having high value impact and visibility across the company. Drafts, reviews, and negotiates contracts utilizing high quality legal documents to protect the best interests of the company. Reporting to the Vice President, Legal, Global Contracts, this seasoned attorney works as part of a high-performing global transactions legal team to collaborate on and solidify new contracting processes and improvements with an eye toward quality, efficiency, and a high level of customer service (internal and external).

General Responsibilities
Acts as advisor on a variety of legal matters, including coordinating with external counsel
Analyze and summarize complicated legal documents, including contracts, and suggesting modifications to those documents
Interpret laws, rulings and regulations for the company
Guide the company and ensure compliance with rules and regulations
Reviews legal data and advises organization on appropriate legal action to be taken
Researches laws, anticipates and guards company against legal risks
Prepare legal documents, policies and contracts, accurately and in a timely manner
Participate in company audits to ensure full compliance to all local, state and federal laws
Develop internal and external messages related to disputes, legal issues and media inquiries
Perform due diligence in legal matters concerning contracts, agreements, and mergers and acquisitions
Stay inform about current legislation, especially concerning legal specialties
Represent organization in legal proceedings
Directs internal and external counsel performing litigation on the company’s behalf
Experience / Qualifications
A university degree required (i.e. Bachelors degree) or equivalent relevant work experience.
Must be a team player able to work in a fast-paced environment with demonstrated ability to handle multiple competing tasks and demands
Strong communication skills; oral, written and presentation
Strong organization, planning and time management skills to achieve results
Strong personal and professional ethical values and integrity
Holds self-accountable to achieving goals and standards
Proficient in Microsoft Office programs (Outlook, Word, PowerPoint, and Excel)
Strong interpersonal & collaboration skills to work effectively with all levels of the organization including suppliers and/or external customers

Acts as legal advisor and leader on a variety of complex contractual matters, including coordinating with internal stakeholders and business partners to set the strategy and achieve business results
Initially, this role will counsel the company’s Sensing Solutions businesses, which may include the sale of hardware, software, and services, and transactions with customers in newly acquired businesses
Analyzes and summarizes complicated legal documents, including contracts, and making modifications to those documents that are in the company’s best interest
Produces high quality transactional legal documents, accurately and in a timely manner
Collaborates with the company’s attorneys located internationally to ensure consistency in contract terms for businesses acquired through acquisition
Reviews non-standard terms and conditions, including identification and resolution of unusual liability, intellectual property, and indemnification terms in complex technology transactions
Licensed attorney with a minimum of 10 years in-house technology transactions experience, including hardware, software, and service contracts
Must be a collaborative team player, well organized, and able to work in a fast-paced environment.
Handles high transactional volumes with the ease brought by experience
Experience in complex technology transactions, IP transactions, inbound and outbound software licensing, SaaS and cloud agreements, and collaboration and development agreements
Strong leadership skills, communication skills, and interpersonal skills
Highly productive, positive attitude, with strong organizational, planning, and time management skills
Virtual working environment with the ability for up to 10-15% travel
