Sensata Technologies, Inc. Associate General Counsel, Securities and M&A in Attleboro, Massachusetts
We are seeking a bright, energetic, business-minded and innovative attorney with 5-10 years of proven public company securities law, corporate governance and mergers/acquisitions experience gained at a leading law firm and in-house to join our legal department. This is a truly unique opportunity to work closely with the company’s Sr. VP of Strategy and M&A, Financial Reporting, Investor Relations, Tax and Treasury teams, and interface with the executive leadership team, and to manage, negotiate and execute on a broad range of M&A/corporate transactions.
This position reports directly to the General Counsel and is based in the company’s corporate headquarters in Massachusetts (Attleboro).
Key Roles and Responsibilities:
Leading or assisting in all areas related to the company’s corporate and securities laws matters and related compliance, including Securities Act and Exchange Act matters
Review of SEC filings, including registration statements, Forms 10-K, 10-Q and 8-K, proxy statements (including shareholder proposals and proxy solicitations) and Section 16 reporting
Supporting M&A and financing activities, including drafting and negotiating non-disclosure agreements, asset and stock purchase/sale agreements, joint venture and partnership agreements and other strategic partnership-related documents, coordinating and overseeing due diligence activities and working closely with the company’s M&A team.
Developing, refining and maintaining policies and procedures to ensure compliance with SEC and other securities-related regulatory requirements applicable to publicly-traded companies, including the Sarbanes-Oxley Act, Dodd-Frank Act and NYSE listing standards, Regulation FD and insider trading
Advising on corporate governance, executive compensation and various other related matters (such as transfer agent and equity plan administration), as well as developing, adopting, managing and refining applicable corporate governance policies and procedures
Keeping abreast, and advising on potential impact, of new and proposed securities law and corporate governance developments, market trends and best practices to ensure continued compliance
Assisting corporate secretary in all corporate secretarial function matters, including preparation of notices, agendas and materials for board of directors and committee meetings, including board minutes, resolutions and actions, managing the board and committees’ meeting cadence, and leading preparation for annual meeting of shareholders
Advising on ISS, Glass Lewis and other proxy advisory service positions and corporate responses
Advising on investor relations matters, including review of earnings announcements, earnings scripts, press releases, investor presentations, investor communications, internal communications and other materials (including preparation of appropriate securities disclosure as necessary)
Building close relationships with personnel at supported business operations and obtaining and maintaining a strong knowledge of the company’s products and the objectives of those operations
Leading or assisting the legal department’s efforts in the preparation, implementation and refinement of forms, processes and procedures relevant to areas of coverage
Managing outside counsel in all appropriate areas of coverage
Performing other special assignments, strategic projects or duties as needed
J.D. degree from an ABA accredited law school
Licensed to practice law and in good standing
5-10 years of securities law, corporate governance and M&A experience
Developed sense of judgment, risk management skills and ability to balance business needs, regulatory obligations and reputational risks in an objective, practical way; demonstrated ability to both grasp the "big picture” and attend to details
Demonstrated ability to manage multiple projects efficiently and effectively in a fast-paced business environment and drive complex projects to completion
Highly effective written and verbal communications skills; ability to communicate and relate at all levels of the organization
Experience in-house and at a top-tier law firm is preferred
Ability to handle substantial work volume and competing priorities in a fast-paced environment
Self-starter with a team spirit and an accountable working style
